TERMS AND CONDITIONS
INTRODUCTION
SummerSchoolOxford is a service provided by EdMatch Ltd. Our Summer School Selector is designed to support families in identifying the most suitable summer school programmes for their needs, help providers connect with the right students and raise standards across Oxford-based summer schools. We are committed to transparency and welcome constructive feedback from families and programme providers.
These terms and conditions set out the terms under which EdMatch makes the Summer School Selector available to you.
If you are under the age of 18, you confirm that you have the permission of a parent or legal guardian to use our services and submit your information. If you are under 13, you must not use our services or provide us with personal data unless your parent or guardian has given explicit consent.
1. LICENCE
EdMatch grants you a limited, revocable, non-exclusive, non-transferable and non-sub-licensable licence to use the Summer School Selector for personal use only.
2. INTELLECTUAL PROPERTY RIGHTS
Nothing in these terms and conditions assigns or otherwise transfers between the parties any rights, title or interest (including any intellectual property rights) in the Summer School Selector or the Data.
3. WARRANTY
3.1 EdMatch represents and warrants that the Summer School Selector and Data will not infringe the Intellectual Property Rights of any third party.
3.2 You represent and warrant that you:
3.2.1 will use the Summer School Selector and the Data solely for your personal, non-commercial use to determine the most appropriate summer school based on your requirements;
3.2.2 will not grant access to the Summer School Selector and/or the Data to any third party;
3.2.3 will not attempt to reverse engineer, scrape, copy, reproduce, republish, or otherwise exploit the Summer School Selector or the Data;
3.2.4 will not use automated systems, bots, scrapers, or other tools to access, retrieve, copy, or collect any data relating to the Summer School Selector without our express written permission; and
3.2.5 acknowledge that the rankings, ratings, and reviews provided are EdMatch’s intellectual property and may not be copied, reused, or used for any commercial purpose without written consent.
3.3 Each party represents and warrants that:
3.3.1 it will comply with all applicable laws in carrying out its obligations under this Agreement; and
3.3.2 it has the full legal capacity, power and authority to enter into these terms and conditions;
3.3.3 these terms and conditions are legally binding on it and enforceable against it; and
3.3.4 it will not share any login details or otherwise enable unlawful access to the Summer School Selector by any other person.
4. DISCLAIMER
4.1 EdMatch takes reasonable efforts to provide objective and accurate results to you through your use of the Summer School Selector. However, EdMatch does not represent that the output of the Summer School Selector is exhaustive, up-to-date or error free. Except as expressly warranted in this Agreement, and except to the extent prohibited by law, EdMatch disclaims all implied representations and warranties regarding the Summer School Selector including, but not limited to, any implied warranty of merchantability or fitness for a particular purpose.
4.2 EdMatch is not responsible for the delivery of any services at a summer school that you choose through the Summer School Selector. Prior to registering with a summer school, you should undertake your own enquiries to ensure that the summer school is appropriate for your requirements. EdMatch is not responsible for the content and/or safety of any third party websites linked to from the Summer School Selector.
4.3 Any personalised reports generated through the Summer School Selector include additional disclaimers regarding third-party data, outcomes and affiliations. By using the service, you acknowledge and accept the terms of those disclaimers.
5. LIMITATION OF LIABILITY
5.1 Subject to clause 5.3, each party’s maximum aggregate liability to the other party for any claim or loss arising directly or indirectly in connection with these terms and conditions shall be capped at £1.
5.2 Notwithstanding any other clause in these terms and conditions but subject to clause 5.3, neither party shall be liable to the other party for any consequential, special, incidental, or indirect damages or loss of profits arising from or related to these terms and conditions, under any cause of action or theory of liability and irrespective of whether the party has been advised of the possibility of any such loss or damage.
5.3 Nothing in these terms and conditions shall limit or exclude either party’s liability for death or personal injury resulting from its negligence, fraud or fraudulent misrepresentation, breaches of the other party’s intellectual property rights or any matter which cannot be limited or excluded by law.
6. TERM AND TERMINATION
6.1 Either party may terminate these terms and conditions at any time on written notice to the other.
6.2 Any clauses intended by their nature to survive termination or expiration shall survive.
7. SUSPENSION
EdMatch may, in its sole discretion, suspend access to the Summer School Selector without liability to you.
8. CONFIDENTIALITY
The parties agree to treat all confidential information relating to these terms and conditions including all Data (“Confidential Information”) in the strictest confidence. Neither party shall disclose any Confidential Information without the prior written consent of the other party unless required by law.
9. MISCELLANEOUS
9.1 EdMatch may revise these terms and conditions from time to time. The most current version will always be posted on our website. Any material changes will be notified to you by email.
9.2 All notices shall be in writing and delivered by email.
9.3 These terms and conditions constitute the entire agreement between the parties about its subject matter.
9.4 No variation of these terms and conditions will be binding unless it is in writing and signed by the parties.
9.5 Neither party may assign these terms and conditions without the other party’s prior written consent (not to be unreasonably withheld) provided that assignments incidental to a sale of all or substantially all assets by either party shall not require any such consent.
9.6 EdMatch shall have the right to sub-contract any of its obligations under these terms and conditions provided that EdMatch remains solely liable to you for the provision of the services.
9.7 If any clause is held by a court to be unenforceable, that clause shall be deleted from these terms and conditions.
9.8 A party’s delay to pursue remedies for a default does not amount to a waiver of any obligation of the other party.
9.9 Each party to these terms and conditions is an independent contractor and neither party has any authority to bind the other.
9.10 No terms are enforceable under the Contracts (Rights of Third Parties) Act 1999 by a person who is not a party to these terms and conditions.
9.11 These terms and conditions are governed by English law and is subject to the exclusive jurisdiction of the courts of England.
10. DEFINITIONS
The following capitalised terms shall have the following meanings:
Agreement | means these terms and conditions, including any updates or amendments from time to time. |
Confidential Information | means all information relating to these terms and conditions, including all Data, that is disclosed by one party to the other and is either marked as confidential or would reasonably be considered confidential in the circumstances. |
Data | means the underlying data in relation to the summer schools available through the Summer School Selector. |
EdMatch | EdMatch Ltd. |
Summer School Selector | means the service provided by EdMatch that helps users identify suitable summer school programmes, as described at www.summerschooloxford.com. |
